• 2.2 Distributing, selling, leasing, or sublicensing our content or services without explicit written authorization
• 2.3 Using our services to transmit spam, chain letters, or unsolicited commercial communications
• 2.4 Engaging in any activity that could damage, disable, overburden, or impair our servers or networks
• 2.5 Circumventing or attempting to circumvent any security measures or access controls
• 2.6 Impersonating any person or entity, or falsely representing your affiliation with any organization

3. Content Guidelines and Restrictions

When interacting with our services or providing content:

• 3.1 You must not post or transmit content that is unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• 3.2 You retain ownership of content you provide but grant us a license to use it in connection with providing our services

To the maximum extent permitted by applicable law, Learn Arcade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• • Loss of profits, revenue, data, or goodwill
• • Service interruptions or lost business opportunities
• • Cost of procurement of substitute services
• • Any damages arising from your use of or inability to use our services

Our total liability for any claims arising from or related to these terms or your use of our services shall not exceed the amount you have paid us in the twelve months preceding the claim, or one hundred dollars ($100 USD) if no payments have been made.

3. Consequential Damages Exclusion

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law. You acknowledge that this limitation of liability reflects a reasonable allocation of risk between you and Learn Arcade.

Learn Arcade shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet service failures, or any other force majeure event.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Minnesota and the United States of America, without giving effect to any principles of conflicts of law. You agree to submit to the personal and exclusive jurisdiction of the courts located in Minneapolis, Minnesota for the resolution of any disputes.

2. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions:

• 2.1 The parties agree to first attempt to resolve the dispute through good faith negotiations
• 2.2 If negotiations fail, the parties may pursue mediation before a mutually agreed upon mediator
• 2.3 Either party may pursue litigation in the appropriate courts after exhausting negotiation and mediation efforts

3. Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.

4. Waiver

No waiver by Learn Arcade of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these terms shall not constitute a waiver of such right or provision.

5. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Terms of Service, constitute the entire agreement between you and Learn Arcade regarding your use of our website and services, superseding any prior agreements or understandings.
